Retina Group is one of the largest investors in the fields of Agriculture, Engineering, Warehousing and Distribution, Imports and Exports and Green Energy. With a management team that has a 40+ year history in building businesses, we are confident in witnessing the next evolution of this company. We pioneered the buy-and-build investment strategy, and we first applied this strategy to agriculture and green energy industries some time ago.

Retina Group has an enduring commitment to responsible investment and has since inception had a multi-stakeholder approach. This concept still embodies the fundamental mindset that defines Retina Group and our active ownership approach. With an entrepreneurial spirit and passion for future-proofing companies, Retina Group continues to further incorporate the long-term ownership philosophy of it's founding members.
Retina Group funds have a track record of consistent and attractive returns across geographies, sectors and strategies. By taking an active role and working closely with management and boards, Retina Group supports its portfolio companies and real assets with hands-on governance and expertise, leveraged from both within the Retina Group platform and the network of Retina Group Advisors. Providing both capital and competence constitutes the essence of Retina Group’s active ownership approach and is difficult to replicate.

Retina Group's core values and desired ways of conducting business needs to be reflected throughout the entire organization, and to achieve that, an overall framework for governance is essential. Retina Group has developed a number of governing documents, including this policy, for that purpose, and also to ensure compliance with applicable laws and regulations. To fulfil this purpose, the following principles are set out. In order to uphold these, there shall be formalized guidelines and procedures in place.
To uphold Retina Groups values and desired ways of conducting business, there shall be defined structures and processes for managing governing documents, including defined ownership, implementation, accountability and follow-up. A policy portfolio shall be established and annually approved by the Board of Directors.
Retina Group shall identify, assess and manage risks based on Retina Group's vision and goals. A group risk analysis as well as self assessments of internal controls shall annually be reported to the Audit Committee and the Board of Directors.
Retina Group shall have structures in place to ensure compliance with laws and regulations as applicable. As part of this, there shall be a compliance model in place whereby compliance shall be reported annually to the Board of Directors. Any violations noted during the year shall be reported promptly.
Retina Group shall have a people strategy in place in order to attract and retain top talent with the right values and competencies across the globe.
Retina Group shall be prepared for a crisis of any kind and shall have global continuity plans in place.
Retina Group is committed to complying with anti-corruption and bribery laws wherever it conducts business and never accepts the offering or receiving of bribes in any form. Political contributions, gifts, and business entertainment can also be considered forms of bribery and Retina Group has developed specific guidelines covering these types of activities.
Whether a gift or business entertainment is acceptable or not may differ by country or specific situation. All gifts given to or offered by Retina Group employees must comply with the Retina Group Anti-Bribery and Corruption Guidelines and the formal approval processes set out therein. Finally, the Retina Group Anti-Bribery and Corruption Guidelines apply to all staff.
To promote sustainability in the ecosystem and to participate in the public discourse, Retina Group is an active participant in industry associations, working groups, and other initiatives. Retina Group have not directly contribute to any local political campaigns or candidates, lobbying or interest representation, or any spending related to ballot measures or referendums up to date.
Since Retina Group's contributions primarily consist of membership fees to industry associations, it is not possible to provide any detailed disclosure concerning specific lobbying initiatives.
Retina Group is fully committed to preventing money laundering and terrorist financing, and complying with all applicable Anti-Money Laundering and Counter-Terrorist Financing laws when conducting business with all business relationships. To this end, Retina Group has developed an Anti-Money Laundering program consisting of policies, procedures, training, and controls designed to prevent and detect any risk of money laundering, terrorism financing, and related activities.
To ensure proper oversight of anti-money-laundering-related matters, Retina Group has appointed Compliance Officers to oversee the client due diligence process. Retina Group applies a risk-based approach to ensure appropriate controls and oversight to determine the extent of due diligence to be performed and the level of ongoing monitoring to be applied for customers onboarded both physically and digitally. Enhanced due diligence measures will be applied for clients involving high-risk jurisdictions or complex structures and relationships with politically exposed persons, correspondent banking relationships or targeted by other relevant high-risk factors.
Relationships with politically exposed persons are made subject to dedicated monitoring and approval by senior management. Retina Group conducts daily and automated screening of clients and their relevant related parties (including ultimate beneficial owners) against:
^ Sanctions lists published by the United Nations and the European Union
^ Politically Exposed Database to identify a politically exposed person.
All the data obtained according to client identification and anti-money laundering security measures is documented and records are kept for a minimum of five years.
